Terms of Service

These terms are the agreement between you and Oquinox Ltd for use of the Oquinox service. By creating an account or using the service, you agree to them.
Oquinox is provided by Oquinox Ltd, registered in England & Wales (company number 03828395), registered office The Innovation Hub, c/o Sillins Cottage, Sillins Lane, Redditch B97 5TP (“Oquinox”, “we”, “us”). “You” means the person or business using the service.
1. Who can use Oquinox
You must be at least 18 and able to enter into a contract. If you use Oquinox on behalf of a business, you confirm you are authorised to accept these terms for that business.
2. Your account
You are responsible for your account and for keeping your sign-in details secure. We strongly recommend enabling two-factor authentication. Tell us promptly at pulse@oquinox.ai if you think your account has been accessed without permission.
3. The service, and its beta status
Oquinox is an AI assistant that helps you run the operational side of a small business. During the private beta, the service is offered as a preview: features may change, be added, or be removed, and it may not always be available or error-free. We’ll give you reasonable notice of material changes where we can.
4. AI output -; your responsibility to review
Oquinox does not provide legal, financial, tax, medical, or other professional advice. Use it as a tool, not a substitute for professional judgement.
5. Acceptable use
You agree not to:
- use Oquinox to break the law or infringe anyone’s rights;
- upload content you don’t have the right to use, or that is unlawful or harmful;
- attempt to disrupt, overload, reverse-engineer, or gain unauthorised access to the service;
- resell or provide the service to others except as we permit; or
- use the service to build a competing product.
6. Your content and data
You keep ownership of the content you put into Oquinox. You grant us the limited licence needed to process and store that content so we can operate the service for you, including sending it to the AI providers described in our Privacy Policy. You are responsible for having the right to share any content you provide.
7. Our intellectual property
The Oquinox platform, software, branding, and content (other than your own content) belong to Oquinox Ltd or our licensors. These terms don’t give you any ownership of them.
8. Fees, billing, and renewals
Paid plans are billed in advance through Stripe on a recurring basis (for example, monthly) at the price shown when you subscribe. Subscriptions renew automatically each period until cancelled. We may change prices, and will give you reasonable notice before a change affects you. Fees are stated in pounds sterling and exclude VAT unless stated otherwise.
9. Cancelling and refunds
You can cancel at any time, and your subscription will continue until the end of the period you’ve already paid for. Except where the law requires otherwise, fees already paid are non-refundable and we do not provide partial refunds for an unused part of a period. If you are a consumer, you may have a statutory right to cancel within 14 days of first subscribing; where you ask us to start the service within that period, we may charge for what you have used.
10. Availability
We aim to keep Oquinox running well but do not guarantee uninterrupted or error-free service, particularly during beta. We may suspend the service for maintenance, security, or legal reasons.
11. Suspension and termination
You can stop using Oquinox and close your account at any time. We may suspend or end your access if you breach these terms, fail to pay, or where we reasonably need to protect the service or other users. When your account ends, your right to use the service stops; we will handle your data as set out in the Privacy Policy.
12. Liability
Nothing in these terms limits liability that cannot be limited by law - including for death or personal injury caused by negligence, or for fraud. Subject to that:
- we provide the service “as is” and, to the extent the law allows, exclude implied warranties;
- we are not liable for indirect or consequential loss, lost profits, lost data, or loss arising from your reliance on AI output; and
- our total liability to you in any 12-month period is limited to the fees you paid us in that period.
If you use Oquinox as a consumer, you keep all your statutory rights, and the limits above apply only so far as the law permits.
13. Changes to these terms
We may update these terms. If we make material changes, we’ll let you know by email or through the service before they take effect. Continuing to use Oquinox after that means you accept the updated terms.
14. Governing law
These terms are governed by the laws of England & Wales, and the courts of England & Wales have jurisdiction, subject to any mandatory rights you have where you live.
